What Is IR35?

IR35 is another term for the ‘off-payroll working rules’ and is a tax legislation which was designed to combat tax avoidance or ‘disguised employment’. It is designed to make sure that workers, who would have been an employee if providing their services directly to the client, pay the same tax and NI contributions as employees. From April 6, 2021, the end client or hirer is held responsible for determining if the rules apply to a candidate.

  • If the role falls ‘inside’ IR35, then a person will be employed by the agency or via an intermediary (umbrella company) to have the correct tax and NI deductions made on each payment.
  • If the role falls ‘outside’ IR35, a person can be paid to their Limited company or PSC, and they will be responsible for completing a self-assessment and paying tax and NI each year.

What Is an Umbrella Company?

An umbrella company acts as an ‘intermediary’ and becomes the employer. 

A candidate completes work for the end hirer often via a recruitment agency. The agency processes a timesheet when received and sends payment to the umbrella company.

 

The umbrella company will then deduct a fee or margin and calculate Employers NIERS and any other deductions before processing the salary payment with tax and NI deductions plus any pensions or student loans. They will then produce a payslip (usually electronic) and report this information to HMRC. 

 

Being an employee of an umbrella gives a contractor the freedom to work for various agencies under one employer, be entitled to employee benefits such as Statutory Sick Pay, Maternity/Paternity Pay and Holiday Pay.
